San Francisco, California—October 28, 2024: Dodge & Cox announced today the election of Trustees at a Special Meeting of Shareholders. The eight current Trustees who were re-elected are:
- Luis Borgen—Independent
- Dana M. Emery—Dodge & Cox Chair and CEO
- Caroline M. Hoxby—Independent
- Ann Mather—Independent
- Gabriela Franco Parcella—Independent
- Shawn Purvis—Independent
- Admiral Gary Roughead—Independent (Lead)
- Mark E. Smith—Independent
Shareholders also elected the following four new Trustees:
- Diana F. Cantor—Independent
- Jennifer Nason—Independent
- Lucinda I. Johns—Dodge & Cox Senior Vice President & Director of Fixed Income
- Roger G. Kuo—Dodge & Cox President
Ms. Cantor, Ms. Johns, and Mr. Kuo will join the Funds Board of Trustees (“the Board”) immediately, and Ms. Nason will join the Board on February 7, 2025. At that time, the Board will comprise 12 Trustees, nine of whom will be independent. Ms. Emery will continue to serve as the Chair of the Board, and Admiral Roughead will remain Lead Independent Trustee. All Trustees were previously recommended for nomination by the Nominating Committee of the Board.
Charles F. Pohl, former Chairman & CIO of Dodge & Cox, has retired from the Board. In 2022, Mr. Pohl retired from Dodge & Cox after nearly four distinguished decades at the firm. Thomas A. Larsen will retire from the Board on December 31, 2024 after 22 years of service as an Independent Trustee.
The Dodge & Cox Funds Board of Trustees oversees all seven of Dodge & Cox’s funds: the Dodge & Cox Stock, Global Stock, International Stock, Emerging Markets Stock, Balanced, Income, and Global Bond Funds.

About the New Trustees
Ms. Cantor is a member of the Investment Committee and Board of Managers of Alternative Investment Management, LLC. She also serves as an Independent Director of Domino’s Pizza, Inc., VICI Properties, Inc., and Universal Corporation.
Ms. Johns is Senior Vice President and Director of Fixed Income at Dodge & Cox, which she joined in 2004. She is also a Director and shareholder of the firm, and member of the Balanced Fund, Global Fixed Income, and U.S. Fixed Income Investment Committees.
Mr. Kuo is President of Dodge & Cox, which he joined in 1998. He is also a Director and shareholder of the firm, and serves on the Global Equity and International Equity Investment Committees.
Ms. Nason is Global Chairman of Investment Banking at J.P. Morgan, from which she will retire in February 2025. Ms. Nason also serves as an Independent Director of Rio Tinto.
